TERMS FOR USE MEMBERS ADVERTISING THEIR BUSINESS, PRODUCT AND SERVICES 

Welcome to our Platform “Ababill”.  The Platform is owned by DARUL SADAQAH CHARITY FOUNDATION, a section 8 company, registered under the Companies Act, 2013, having its registered office located at, off No.1, Kumar Pavillion, 1st Floor, H. No.2424, East Street, Camp, Pune 411001, (hereinafter referred to as “Owner”) and it is operated by Bakka Innovations Pvt. Ltd., (“Platform” or “us” or “we” or “our“), having its registered office located at, off No.1, Kumar Pavillion, 1st Floor, H. No.2424, East Street, Camp, Pune 411001.  Please read the Conditions of Use document carefully before using the Platform.  By visiting the Platform, you signify your agreement to be bound by these Conditions of Use (“Terms“).

• This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
• PRIVACY : Amazon Web Services India Private Limited, of Asia Pacific region, at, 11^th Floor, Godrej One, Pirojshanagar, Vikhroli, Mumbai, Maharashtra 400079, is data controllers of personal information collected and processed through the Platform. As described in our Privacy Notice, we share information at Platform and the subsidiaries that Owner, controls that are either subject to our Privacy Notice or follow practices at least as protective as those described in our Privacy Notice.  We also share information with third-party service providers.  For any further details on our security practices please read our Privacy Notice.  For any queries or issues relating to the Platform, you can contact us by contacting at spport@ababill.

Please review our Privacy Notice, which also governs your visit to the Platform, to understand our practices. The personal information / data provided to us by you during the course of usage of the Platform, will be treated as strictly confidential and in accordance with the Privacy Notice and applicable laws and regulations. If you object to your information being transferred or used, please do not use the Platform.

• ELECTRONIC COMMUNICATIONS : When you visit the Platform or send e-mails to us, you are communicating with us electronically.  We may communicate with you by e-mail or by posting notices on the Platform or by any other mode of communication.  For contractual purposes, you consent to receive communications (including promotional and / or commercial messages), from us with respect to your use of the Platform.  You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy the legal requirements of a valid communication, in writing.
• ACCESS TO THE PLATFORM : We will do our utmost to ensure that availability of Platform will be uninterrupted and that transmissions will be error free.  However, due to the nature of the internet, this cannot be guaranteed. Also, your access to the Platform may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.
• COPYRIGHT : All content included on this Platform, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, blogs, hyperlinks and software, is the property of Ababill or its affiliates or its content suppliers and protected by India and international copyright, authors rights and database right laws.  The compilation of all content on this Platform is the exclusive property of Ababill or its affiliates and protected by laws of India and international copyright and database right laws.  All software used on this Platform is the property of Ababill, its affiliates or its software suppliers and protected by laws of India and international copyright and database right laws.  You may not systematically extract / or re-utilize parts of the contents of the Platform without Ababill and / or its affiliates (as may be applicable) express written consent.  In particular, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilization of any substantial parts of this Platform, without our and / or its affiliates’ (as may be applicable) express written consent.
• TRADEMARKS : Ababill, its logo, its Seller Central logo / mark and other marks, logos, page headers, button icons, scripts indicated on our Platform are trademarks of Owner, partner and authorized user. Ababill and its affiliates’ trademarks and trade dress may not be used in connection with any product or service that is not Ababill or its affiliates as applicable, in any manner that is likely to cause confusion among users, or in any manner that disparages or discredits Ababill or its affiliates. All other trademarks not owned by owner and Ababill or its affiliates that appear on this Platform are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Owner, Ababill or its affiliates.
• LICENSE AND PLATFORM ACCES : Subject to your compliance with these Terms, we grants you a limited license to access and make personal use of this Platform and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of we / or its affiliates, as may be applicable. This license does not include any resale or commercial use of this Platform or its contents; any derivative use of this Platform or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.  This Platform or any portion of this Platform (including but not limited to any copyrighted material, trademarks, or other proprietary information) may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without express written consent of we and / or its affiliates, as may be applicable.  You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of our or its affiliates without their express written consent, as may be applicable.  You may not use any meta tags or any other “hidden text” utilizing Ababill or its affiliates’ name or trademarks without our express written consent.  Any unauthorized use terminates the permission or license granted by Owner, Ababill and / or its affiliates.  You are granted a limited, non-assignable, revocable, and non-exclusive right to create a hyperlink to the home page of this Platform so long as the link does not portray Ababill, its affiliates, or our products or services in a false, misleading, derogatory, or otherwise offensive matter.  You may not use any logo or other proprietary graphic or trademark of Ababill or its affiliates as part of the link without their express written permission.
• YOUR ACTIVITY : The Platform is not intended for use by children. Use of this Platform is available only to persons who can form a legally binding contract under the Indian Contract Act, 1872.  If you are a minor i.e., under the age of 18 (eighteen) years, you may use the Platform only with involvement of a parent or guardian.  Ababill and its affiliates reserve the right to refuse service, or remove or edit content in their sole discretion.  You must not use the Platform in any way that causes, or is likely to cause, the Platform or access to it to be interrupted, damaged or impaired in any way.  You understand that you, and not we, are responsible for all electronic communications and content sent from your computer to us and you must use the Platform for lawful purposes only and only in accordance with the applicable law.  You must not use the Platform for any of the following:
• for fraudulent purposes, or in connection with a criminal offence or other unlawful activity; to send, use or reuse any material that is illegal, offensive, (including but not limited to material that is sexually explicit or which promotes racism, bigotry, hatred or physical harm), abusive, harassing, misleading, indecent, defamatory, disparaging, obscene or menacing; or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any “spam”; to cause annoyance, inconvenience or needless anxiety.
• In addition to the foregoing, you will not upload, display, share, host, publish or transmit any information on the Platform, in a form or otherwise, that:

1. belongs to another person and to which you do not have a right to such information;
2. is harmful, offensive, harassing, obscene, pornographic, invasive of another’s privacy, hateful, racially or ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence;
3. infringes any patent, trademark, copyright or any other proprietary rights;
4. harms minors in any way or is harmful to child;
5. any commercial material or content (including solicitation of funds, advertising, or marketing of any good or services);
6. deceives or misleads the addressee about the origin of such messages, or communicates any misinformation or information which is patently false and untrue or misleading in nature;
7. impersonates another person;
8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
9. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation; or
10. violates any law for the time being in force in India.

• You represent and warrant that you own or otherwise control all of the rights to the content or material that you post or submit or that you otherwise provide on or through the Platform; that the content is accurate; that the content is lawful; that use of the content you supply does not violate this policy and will not cause injury to any person or entity. You agree to indemnify Ababill and its affiliates for all claims arising from the content or material you supply.  Ababill has the right but not the obligation to monitor and edit or remove any activity or content.  Ababill takes no responsibility and assumes no liability for any content submitted by you or any third party.
• INTELLECTUAL PROPERTY COMPLAINTS : Owner, Ababill and its affiliates respect the intellectual property of others. If you believe that your work has been copied in a way that constitutes infringement of your intellectual property, please follow our Trademark, Copyright, and Design policy and grievance re
• CONTENT DISCLAIMER : Whilst Ababill has used reasonable endeavors in compiling the information provided on the Platform, We provides no assurance as to its accuracy, completeness or usefulness or that such information is error-free. Any information provided on this Platform is provided on a good-faith basis. In certain cases, the content maybe provided by a third-party and is made available on an “as-is” basis. • INDEMNITY AND RELEASE : You shall indemnify and hold harmless us, our subsidiaries, affiliates and our respective member, officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party. • SANCTIONS AND EXPORT POLICY : You may not use this Platform if you are the subject of any sanctions or of sanctions consistent with law imposed by the governments of the country where you are using this Platform. You must comply with all laws of export and re-export restrictions that may apply to goods, software (including any Software), technology and services.
• GOVERNING LAW AND JURISDICTION : These Terms are governed by and construed in accordance with the laws of India. You agree, as we do, to submit to the exclusive jurisdiction of the courts at Pune.
• SITE POLICIES, MODIFICATION AND SEVERABILITY : Owen and we reserve the right to make changes to this Platform, policies, and these Terms at any time. You will be subject to the policies and Terms in force at the time that you use the Platform. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition of these Terms.  If you register as a seller on this platform for advertising and selling your product and services, your activities on the Platform will be governed by the Term of Use of the Platform along with any other relevant policies for the time being in force.
• EVENTS BEYOND OUR REASONABLE CONTROL : We will not be held responsible for any delay or failure to comply with our obligations under these Terms if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.
• WAIVER : If you breach these Terms and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.
